PVAA Constitution

ARTICLE I - NAME

This organization shall be known as The Purdue Veterinary Alumni Association.  It shall forever remain a non-profit organization in fact.

ARTICLE II - OBJECTIVES

The objectives of this Association shall be:

Section 1.  To serve as a liaison between the Alumni and the Purdue University College of Veterinary Medicine.

Section 2.  To extend and advance Veterinary Medicine at Purdue University.

Section 3.  To promote good fellowship among the Association members and among all members of the profession.

Section 4.  To enlighten and direct public opinion in regard to Veterinary Medicine.

ARTICLE III - MEMBERSHIP

Section 1.  Active membership shall be open to all graduates of the Purdue University College of Veterinary Medicine, upon payment of dues to the Purdue Veterinary Alumni Association (PVAA).  Since the PVAA is organized as a constituent of the Purdue Alumni Association (PAA), and a share of PAA dues are provided to the PVAA, membership in PAA also is encouraged.

Section 2.  Associate membership shall be open to any graduate veterinarian associated with the Purdue College of Veterinary Medicine.  Such members shall not have the right to vote or hold office.  Payment of dues is not required.

Members who have resigned in good standing may be readmitted by paying present dues.

ARTICLE IV - OFFICERS

Section 1.  The officers of this Association shall be the President, President-elect, and Secretary-Treasurer.

Section 2.  The term of office shall be two years for the President and President-elect.  The president may not succeed him/herself.  The term of office shall be one year for the Secretary-Treasurer, who may succeed him/herself without limit, subject to the provisions of Article V, Section 3.  Terms begin at the start of the calendar year following the officer election.

Section 3.  No member may be an officer unless he has been an active member in good standing for one year.

Section 4.  The President-elect succeeds the President at the conclusion of the President’s term, or sooner if necessary to fill out an unexpired term.  Other vacancies occurring shall be filled by the Executive Committee of the Purdue Veterinary Alumni Association Board of Directors from qualified members.

ARTICLE V - Purdue Veterinary ALUMNI ASSOCIATION BOARD of Directors AND EXECUTIVE COMMITTEE

Section 1.  The Purdue Veterinary Alumni Association Board of Directors serves as the volunteer board of the Purdue Veterinary Alumni Association and as an alumni advisory panel to the College of Veterinary Medicine. 

Section 2.  The Executive Committee shall be comprised of the officers and the past president of the Association.

Section 3.  The PVAA Board of Directors will consist of the Purdue Veterinary Alumni Association President, President-elect, Past-president, Secretary-Treasurer, five DVM members representing Indiana regions: north, south, east, west, and central; five Veterinary Nursing members representing Indiana regions: north, south, east, west, and central; and seven at-large members representing as possible: young alumni; food animal, equine, small animal areas; and a representative from the Indiana Board of Animal Health (BOAH). At large members of the Board should also represent areas outside the state of Indiana.

Young Alumni of PVM are defined as those who have graduated within the last 10 years at the time of appointment.

The Executive Committee will appoint a Nominations Committee to seek and recommend all members of the Board of Directors.  Upon approval by the Purdue University College of Veterinary Medicine, each appointed member shall serve a term of three years and may succeed him/herself once.       Terms begin at the start of the calendar year.

Section 4.  A new representative shall be selected by the Executive Committee to fill the unexpired term of the President-Elect and Secretary-Treasurer, or to fill a vacancy due to a board member’s resignation or removal for non-attendance.  Officers retain their membership on the Board for the duration of their term of service (including service as past-president).  At the conclusion of their term of service, they may be re-appointed as district or at-large representatives, subject to the provisions of Article IV, section 3 above.

Section 5.  The PVAA Board of Directors shall meet semi-annually with the Dean, Associate Deans, Department heads, and other College representatives to hear reports on the College and to provide advice and input.  The Board also shall have responsibility for administering Purdue Veterinary Alumni Association affairs.  The Board Executive Committee shall handle Association affairs between meetings of the Board, shall prepare a slate of nominees for PVAA offices, and handle other matters as necessary on behalf of the Board and PVAA.

ARTICLE VI - MEETINGS

Section 1.  The Board of Directors shall meet semi-annually, in the fall and spring.  Additional meetings may be scheduled at the discretion of the Executive Committee.  In the event that a meeting of the PVAA membership is required, the meeting shall be conducted electronically, with an online format for discussion and casting votes.  Vote results of such e-meetings will be reported, ratified and entered into the official minutes of the subsequent meeting of the board of directors. 

Section 2. Ten members of the Board of Directors must be present (either virtually or in-person) to constitute a quorum for meetings of the Board of Directors. 

ARTICLE VII - AMENDMENTS

Proposed amendments must be submitted in written form to the secretary, who shall notify all voting members by electronic mail of the proposed amendments at least seven (7) days before an e-meeting of the membership.  An amendment shall require approval by a majority of the members who cast electronic votes.

BY-LAWS

ARTICLE I - MEMBERSHIP

Section 1.  Active membership is available to all graduates of the College of Veterinary Medicine upon payment of annual dues, in accordance with Article III, Section 1 of the Constitution.

Section 2.  Membership in the Purdue Veterinary Alumni Association may be terminated by any of the following:  any member convicted of a felony in a court of Law; any member whose license to practice has been revoked by the State in which he resides; any member violating the Code of Ethics of the AVMA according to the judgment of the Executive Committee and a three-fourths majority vote from the Association membership; any member who fails to pay dues within 18 months of the preceding payment.

ARTICLE II - ELECTIONS

Section 1.  Candidates for President-Elect and Secretary/Treasurer shall be selected by the Executive Committee from current active alumni members who have served on the Board of Directors for at least one year and will be brought to the Purdue Veterinary Alumni Association Board of Directors for approval at the spring board meeting.  More than one candidate may be nominated.  In the event of a contested election, members shall have the opportunity to vote electronically.  Notification is to be made via e-mail in time for the electronic voting to be concluded and votes counted prior to the fall meeting of the Board of Directors.  Results of the election will be reported and ratified at the board meeting and entered into the official meeting minutes.  The new officers will assume their duties at the beginning of the subsequent calendar year.

ARTICLE III - DUTIES OF OFFICERS

Section 1.  The President is the chair of the Purdue Veterinary Alumni Association Board of Directors and shall preside at all meetings; shall serve as chairman of the Executive Committee; shall appoint all standing committees   ;   and at the conclusion of his/her term of office, shall serve as a member of the Executive Committee  for two (2) years as Past President.  A representative of the PVM Engagement Office, as designated by the Dean, shall conduct emergency business with the approval of the Executive Committee.

Section 2.  The President-Elect shall assume the duties of the President in his/her absence, or at his/her request and to fill an unexpired term.  The President-Elect succeeds the outgoing President at the conclusion of the President’s term of office.

Section 3.  The Secretary/Treasurer shall arrange for recording of minutes; shall arrange for appropriate meeting announcements not less than seven (7) days prior to each meeting date; shall secure secretarial service as required; and shall monitor the processing of all fees, dues, contributions, and other moneys due the Association.  Dues will be deposited by the Purdue Alumni Association in the designated Purdue Veterinary Alumni Association Account, along with the annual share of PAA dues.  The Treasurer shall review routine budget statements provided by the Purdue Alumni Association and give semi-annual reports at the meetings of the Board of Directors.

ARTICLE IV - COMMITTEES

Section 1.  The President shall appoint committees at his discretion for nominations, planning or any other purposes s/he/they deems necessary.

ARTICLE V - ORDER OF BUSINESS

Section 1.  The order of business for meetings of the Purdue Veterinary Alumni Association Board of Directors shall, at the discretion of the president, be as follows:

  3. Special Announcements
  4. Approval of minutes
  5. Treasurer’s report
  6. Report   s   from committees
  7. Unfinished business
  8. New business
  9. Reports from the College of Veterinary Medicine
  10. Other
  11. Adjournment

Section 2. The order of business for the annual meeting shall be prescribed by the President in consultation with the PVM Engagement Office, using the order in section 1 as a guide. 

ARTICLE VI - QUORUM

Ten (10) active members shall constitute a quorum of this Association for the transaction of business at electronic meetings or other meetings scheduled at the discretion of the Executive Committee.

ARTICLE VII - PARLIAMENTARY AUTHORITY

The Robert’s Rules of Order, Newly Revised, shall govern all meetings in matters not covered by the Constitution and By-Laws of the Purdue Veterinary Alumni Association.  The parliamentarian shall be appointed by the president.
